1.About these terms
These Terms of Service ("Terms") are an agreement between you and Reggae Registered Agents Inc., a [entity type and state of formation] with its address at [Registered business address] ("Registate", "we", "us"). They apply when you visit registate.com, create an account, place an order or use any Registate service.
By creating an account or placing an order you accept these Terms, our Privacy Policy and our Refund and Cancellation Policy. If you order for a company, you confirm you are authorised to bind that company, and "you" includes it.
2.Eligibility and your account
- You must be at least 18 years old and able to enter a binding contract.
- Give us accurate, complete and current information, and keep it up to date. State filings, IRS applications and USPS forms are prepared from what you give us.
- Keep your login details private. You are responsible for activity in your account. Tell us at support@registate.com if you think someone else has access to it.
- You may add other people to a company in your dashboard. You are responsible for who you add and what they do.
3.Our services
Depending on what you order, Registate may:
- prepare and file formation documents for an LLC or corporation with the state you choose;
- act as, or arrange, a registered agent in that state;
- apply for an Employer Identification Number (EIN) with the IRS on your behalf;
- provide a US business address and virtual mailbox, receive your mail, and scan, forward or store it on your instructions;
- provide a commercial office lease and supporting documents for a proof-of-address address;
- send compliance reminders and file annual reports or other post-formation documents you order.
The exact scope, price and any limits (for example, the number of incoming mail items included each month) are shown on the plan or service page and at checkout when you order. That description is part of these Terms.
Processing times we show are estimates of our own work. They do not include the time a state, the IRS, USPS, a bank or another third party takes, which we do not control.
4.We are not a law firm
Registate is not a law firm, an accounting firm or a tax adviser, and we do not give legal, tax or financial advice. Guides, checklists, reminders and our team's answers are general information to help you use the service. Using Registate does not create an attorney-client or other fiduciary relationship.
Choices such as entity type, state, tax classification and ownership structure are yours. For advice about your situation, speak to a qualified professional.
5.Your responsibilities
- Accurate information. You are responsible for the names, addresses, owners and other details you give us. A filing made with wrong information may need a paid amendment.
- Identity checks. Some services need identity documents. For mail services, USPS rules require a signed PS Form 1583 and two forms of identification before mail can be received for you. We cannot start those services until you provide them.
- Ongoing compliance. Your company remains responsible for its own obligations, including annual reports, franchise taxes, tax returns and any reporting to FinCEN or the IRS, unless you have ordered a service that files a specific item for you. Reminders are a courtesy and do not shift that responsibility to us.
- Name availability. A name check is not a guarantee. The state decides whether a name is accepted.
- Lawful use. You will use Registate and any address we provide only for lawful purposes and in line with section 9.
6.Government agencies and third parties
Many results depend on others: state filing offices, the IRS, USPS, banks, payment platforms and marketplaces. We do not control their decisions or timing and cannot guarantee that a filing will be approved, an EIN issued by a certain date, or that a bank, marketplace or payment provider will accept an address or document.
We may work with partners (for example, address locations or registered agent providers) to deliver a service. We remain responsible to you for the service you ordered from us. Links to third-party services, including referral links to banks or payment providers, are provided for convenience; their own terms apply.
7.Prices and payment
- Prices are shown in US dollars at checkout. Card payments are processed by Stripe; we do not receive or store full card numbers. Other methods, such as bank transfer, may be offered for some orders.
- Government fees (for example, state filing fees and expedite fees) are charged at the amount the agency sets and passed on to that agency. They are shown separately from our service fee.
- Some plans have an introductory price for a stated period and then renew at the regular price shown at checkout. Some address plans have a minimum commitment, such as 12 months, which is shown before you pay.
- Usage-based charges shown on your plan (for example, per incoming item, postage and forwarding) are charged as they occur.
- If there is an error in formation documents we prepared, we will correct it at no additional cost.
- You are responsible for any taxes that apply to your purchase, other than taxes on our income. [Confirm whether sales tax or VAT is charged]
8.Subscriptions and automatic renewal
Recurring services, such as a virtual mailbox, business address or registered agent service, are billed monthly or yearly as chosen at checkout and renew automatically at the end of each billing period, charged to the payment method on file, until cancelled.
- Before you pay, checkout shows the price, billing period, any introductory period and any minimum commitment.
- We will email you before a yearly plan renews ([reminder timing]) and at least [number of days] days before a price change takes effect on your plan.
- You can cancel online at any time from the Subscriptions page of your dashboard. What happens to fees already paid, and to plans with a minimum commitment, is set out in our Refund and Cancellation Policy.
- If a payment fails, we may retry it and may pause or stop the service after [grace period] if it stays unpaid.
9.Mail and business address services
- Mail is received under USPS rules for commercial mail receiving agencies. The address may appear with a private mailbox (PMB) or suite number, and it may not be used as, or described as, a residence.
- We may refuse, return or dispose of items we are not allowed or able to accept, including hazardous, illegal or perishable items. [Confirm item size and storage limits]
- Scanning, forwarding and storage follow the limits and fees of your plan. Postage and carrier charges are yours once an item is shipped.
- When a mail service ends, USPS rules and our process for any remaining mail apply: [mail handling after cancellation].
- Office lease agreements are signed electronically through DocuSign. A lease or proof-of-address document is issued for the address and term shown in your order. It may not be altered or used for anyone other than the named company or person.
10.Acceptable use
You may not use Registate, a company we form, or an address we provide to:
- commit fraud, impersonate anyone, or hide the true owner of a business from authorities that are entitled to know;
- launder money, finance terrorism, or deal with people or countries under US sanctions;
- receive or send illegal goods, or break postal, tax, consumer or other laws;
- send spam or run deceptive marketing;
- interfere with the site, bypass security or reCAPTCHA checks, or access other customers' data.
We may ask for more information to verify a customer or transaction, and we may decline an order or stop a service where we reasonably believe it is being used in breach of this section or of law.
11.Your documents and information
You keep ownership of the documents and information you give us. You allow us to use, copy and submit them as needed to provide the services, to meet legal duties, and as described in our Privacy Policy. Company filings you ask us to make become public records held by the state.
12.Our site and content
The Registate site, software, name, logo, text and graphics belong to us or our licensors. You may use them only to use the service. Documents we issue for your company (for example, filed formation documents) are yours to use for that company.
13.Suspension and termination
You can close your account by contacting us at support@registate.com. Cancelling a subscription is covered in our Refund and Cancellation Policy.
We may suspend or end a service, with notice where practical, if you break these Terms, do not pay, do not complete required identity checks, or if we are required to by law or by USPS. If we end a service without cause, we will refund the unused part of any prepaid fee. Some records must be kept after termination, as described in the Privacy Policy.
14.Disclaimers
We provide the services with reasonable care and skill. Apart from that and any promise made in these Terms or your order, the services are provided "as is" and "as available", and to the extent the law allows we disclaim other warranties, including fitness for a particular purpose and uninterrupted availability. Nothing in these Terms limits rights you have under consumer law that cannot be excluded.
15.Limitation of liability
To the extent the law allows:
- we are not liable for indirect or consequential losses, lost profits or business opportunities, or for delays or decisions of government agencies, USPS, carriers, banks or other third parties;
- our total liability for any claim relating to a service is limited to [liability cap, e.g. fees paid in the prior 12 months].
These limits do not apply to liability that cannot be limited by law, such as for fraud.
16.Indemnity
You will cover our reasonable losses and costs from third-party claims caused by false information you provide, your breach of these Terms, or your unlawful use of a service or address. [Confirm indemnity scope]
17.Governing law and disputes
These Terms are governed by the laws of [Governing law]. Before starting a formal claim, please contact us at support@registate.com so we can try to resolve it.
Disputes will be resolved in [Courts or arbitration venue]. [Arbitration and class action waiver, if any] If you are a consumer in the EU or UK, you keep the protection of the mandatory laws of your country and may bring a claim in your local courts.
18.Changes to these terms
We may update these Terms. The date at the top shows the latest version. If a change materially affects an active service, we will tell you by email or in your dashboard before it takes effect. Continuing to use the service after that means you accept the change; if you don't, you can cancel under our Refund and Cancellation Policy.
19.General
- These Terms, the policies they refer to and your order are the whole agreement between us about the services.
- If part of these Terms is found unenforceable, the rest still applies.
- You may not transfer your rights under these Terms without our consent. We may transfer ours to a successor business.
- We send notices to the email address on your account. You can send notices to support@registate.com.
- Not enforcing a right straight away does not waive it.
