Delaware: the name and the agent
Delaware's law asks the certificate for the LLC's name and its registered agent's name and address (6 Del. C. §18-201). There is no annual report, so no yearly list of people or addresses either.
Delaware LLC guidePut one LLC through both states and read the bill line by line: the filing fee, each yearly payment and its due date. Then check what goes on the public record and where you'll actually do business, which often matters more.
State fees only, paid to each state. Not our package price, not income tax, and not fees another state may charge if you operate there. Wyoming's license tax is higher if the LLC has large assets in Wyoming. Faster filing uses each state's own expedite fee.

Both states want one payment a year and a registered agent kept in place. The difference is the calendar: Delaware uses one date for everyone, Wyoming uses yours.
The date calculators are on the state guides: Delaware LLC and Wyoming LLC. Our Gold and Platinum plans include compliance reminders; see pricing.
Neither state's formation form asks you to list the LLC's members. The forms differ on addresses. Privacy on the state record doesn't hide owners from banks, payment platforms or the IRS; they still ask who owns the company.

Delaware LLC guideWyoming's form also asks for a mailing address and a principal office address, and an organizer signs it (Articles form). If you'd rather not list a home address, a business address can go there instead.
About our US business addressMore on keeping your home address private: privacy for founders.
Forming in Delaware or Wyoming doesn't take you out of the state where the business really operates. Each state sets its own test for this; a tax adviser can confirm yours.
Many founders abroad start here. You deal with the state you form in. Revisit it when you hire or open an office in the US.
That state may ask you to register there as a foreign LLC, with its own filing fee, registered agent and yearly filings, on top of Delaware's or Wyoming's.
Forming where you operate keeps everything with one state. Local taxes and licences depend on what you do there.

State fees, the $300 vs $400 question, faster filing, the public record and where you operate.
Counting only state fees: Delaware is $110 to form plus $400 a year, so $1,310 over three yearly payments. Wyoming is $100 to form plus at least $60 a year, so $280. Our package is billed separately, and another state's fees apply if you operate there.
$400. Delaware's current LLC tax instructions list an annual tax of $400, due June 1, with no annual report and no proration. Older guides still quote $300. If it's late, Delaware adds a $200 penalty plus 1.5% interest a month.
Wyoming's fee schedule effective July 1, 2026 lists expedited filing: $700 for next business day and $1,400 for same business day, and its FAQ says expedited review is available for most documents. The state's older Articles instructions still say expedited filing isn't allowed, so confirm with the state before you rely on it. Delaware sells 24-hour processing for $50 and same day for $100 on an LLC formation.

Wyoming's articles also show a mailing address, a principal office address and the organizer's signature. Banks, payment platforms and the IRS still ask who owns the company.
No. You can form in either state from anywhere, without an SSN. But if the business has an office, staff or property in another US state, that state may ask you to register there as a foreign LLC and pay its own fees.
Yes. We file the formation document, act as your registered agent in that state (included in every formation package) and can help with your EIN. Planning to raise money from investors? Look at a Delaware C-Corp as well.
