How the annual report works

Wyoming has one yearly filing for an LLC: the annual report, paid together with the license tax. It confirms the company's details and keeps it in good standing.

  • Due on your anniversary month

The due date is the first day of the month the LLC was formed in, every year. The first one comes the year after formation.
  • File early if you like

You can file up to 120 days before the due date. The state sends courtesy emails 60, 30 and 10 days before.
  • Late has a clear limit

The LLC is delinquent from the second day of the next month. If the report is still not filed 60 days after the due date, the state administratively dissolves it.
  • How we help: Gold and Platinum include compliance reminders, and Platinum lists annual report filing. The license tax itself is paid to Wyoming. See what each package includes on pricing.

Running a Wyoming LLC from elsewhere

Many owners form in Wyoming and work from somewhere else. That's allowed, but the state you form in isn't always the only one that counts.

Operating in another US state

If the business actually operates in another state, with an office, staff or property there, that state's rules may apply too, including registering there as a foreign LLC and paying its fees. See where you form vs. where you operate.

Running it from outside the US

You don't need an SSN, and everything happens online. Read what to prepare in formation for non-residents. We can't promise a bank or payment account; each provider decides.

Weighing Wyoming against Delaware

Delaware charges a $400 yearly LLC tax due June 1 with no annual report; Wyoming a $60 minimum on your anniversary month. Read the Delaware LLC page to compare.
