Keep Track of Your US Company Obligations
A US company has dates to keep every year: a state report or tax, a registered agent that never lapses, and federal tax filings. Here's what each one is, which parts Registate can take on, and which stay with you and your tax professional.
- RegistateCan send you a compliance reminder before June 1, and file it for you if you order that service.
- You or your tax professionalMake sure the $400 is paid by June 1. A Delaware LLC has no annual report to file.
- The state or IRSDelaware sets the $400 and the date. Paying late costs a $200 penalty plus 1.5% interest a month.
What compliance means for a US company
Forming the company is a one-time filing. Keeping it in good standing is yearly: a state report or tax, an agent on file, federal tax returns and records that back them up.
A registered agent, all year
Every state expects your company to keep a registered agent in the state to receive legal papers and official notices. Letting it lapse can cost the company its good standing.
Registered agent serviceFederal tax filings
A single-member LLC with a non-US owner usually files Form 5472 with a pro forma Form 1120, even with no US income. A C-Corp files Form 1120. These are tax returns, so a tax professional prepares them.
Company records
Filed reports, tax letters and certificates are what a bank, a platform or your tax professional asks for later. Your panel keeps them in one place: formation documents, tax documents, annual reports and certificates.
How the panel worksWhat about BOI reports? FinCEN's August 2026 final rule exempts companies formed in the US, including LLCs owned by non-US people. Only companies formed abroad that register to do business in a US state still report. Who still files
Who does what
Registate is not a law firm, an accounting firm or a tax adviser. We handle the company-side services you order; the obligations themselves stay with your company.
What Registate can do
Within the services you order- Act as your registered agent in your formation state, included in every package
- Pass on the state notices and legal papers sent to your agent
- Send compliance reminders, and file state annual reports you order
- Keep your company documents in your panel: formation, tax, annual reports and certificates
- Help you apply for an EIN (paid preparation support; the IRS number itself is free)
What you or your tax professional do
Your company's own obligations- Make sure state taxes and fees are paid on time, even if you've had a reminder
- Keep the company's details current, and tell us when an address or owner changes
- Prepare and file federal tax returns such as Form 5472, pro forma 1120, Form 1120 or Form 1065
- Keep the records behind those returns, as the IRS requires
- Decide on tax questions, such as the company's tax classification, with a professional
What the state or IRS does
They set the rules- Set the fees, taxes and due dates, and change them from time to time
- Send official notices to your registered agent, and in Wyoming, courtesy emails before the due date
- Charge late penalties and interest
- Revoke or dissolve companies that stay delinquent
- Process filings on their own timelines. Processing times vary; the state or IRS sets them
A reminder doesn't move the deadline or the responsibility: the company is still the one that owes the filing. Our terms

Choosing a state? Compare the states
What's included, and what's separate
Three kinds of cost: your Registate package, the state's own charges, and a tax professional for federal returns.
Registered agent, in every package
Included in every formation package, and it renews with the package each year, so there's no separate agent renewal to track.
Reminders and report filing

Paid to others
State taxes and report fees are paid to the state. A tax professional's fee for your federal returns is between you and them.

Compliance FAQs
What's due each year, who files it, and what Registate does and doesn't do.
Keeping the company in good standing after it's formed. That usually means a yearly state report or tax, a registered agent in the state at all times, federal tax filings with the IRS, and records that back them up. Each state sets its own fees and dates.
We can send compliance reminders and file state annual reports you order. The scope and price of what you order are shown at checkout. The state's own fee or tax is paid to the state, and the company stays responsible for making sure it's filed on time.
No. Registate doesn't prepare tax returns or give tax advice. Form 5472 with a pro forma Form 1120, Form 1120 and Form 1065 are prepared by you or a tax professional. Your company documents stay in your panel so they're easy to hand over.
Not for a company formed in the US. FinCEN's August 2026 final rule exempts US-formed companies, including LLCs owned by non-US people. Only companies formed abroad that register to do business in a US state still report.
It depends on the state. A late Delaware LLC tax ($400) costs a $200 penalty plus 1.5% interest a month. In Wyoming, the annual report (from $60) is late from the 2nd of the month after it's due, and an LLC that still hasn't filed 60 days after the due date can be dissolved. Reinstating costs extra.
Yes. A reminder is a courtesy. The company owes the filing and the state sets the deadline, so the responsibility stays with the company unless you've ordered a service that files that specific item for you.
