Two company types, one place to start

Most founders choose between an LLC and a C-Corp. Here is the short version; each guide covers the details.

LLC

Limited liability company

A flexible company owned by members. Simple to run, with fewer formalities than a corporation.

  • Owners are members; you can be the only one
  • Taxed as a pass-through by default; it can elect corporate tax instead
  • No shares, so it's rarely used when investors expect stock
  • Common for solo founders, freelancers, agencies and online stores

C-Corp

Corporation

A corporation owned by shareholders, run by a board of directors, that can issue shares.

  • Owners hold shares; the board and officers run the company
  • Files its own federal return (Form 1120) and pays corporate income tax
  • Dividends are taxed again when shareholders receive them
  • The usual choice if you plan to raise money by selling shares

Company formation FAQs

Company types, states, fees, timing and what formation does and doesn't include.

An LLC suits most solo founders and small teams: it's simpler to run and taxed as a pass-through by default. A C-Corp is the usual choice if you plan to sell shares to investors, but it pays corporate income tax and dividends are taxed again. The company type quiz can suggest one, and a tax professional can advise on your situation.

At checkout we currently support Wyoming, Delaware, Florida, Texas, New York, California and the District of Columbia. Each has its own filing fee and yearly state fees; the state comparison page lists them with official sources.

No. The state filing fee is set by the state and paid to it. It's added at checkout as its own line, so you see it before you pay. Yearly state fees, like annual reports and franchise taxes, are also separate.

Processing times vary; the state and the IRS set them. We review your order and file it, then the state reviews the filing on its own timeline. Your EIN comes after the company exists, and the IRS sets that timeline too. The how it works page lists the official times.

Applying to the IRS for an EIN is free. If you add EIN support, you pay Registate to prepare and submit Form SS-4 for you. You don't need an SSN or ITIN for this.

Not by itself, and no one can guarantee one. Banks and payment providers decide for themselves. Formation documents, an EIN and a proof-of-address lease are what they usually ask for, and we can provide those.
