A Certificate of Formation

Delaware's law asks for the LLC's name, ending in "LLC", "L.L.C." or "Limited Liability Company", and the name and address of its registered agent. Owners don't have to be listed (6 Del. C. §18-201).

A registered agent in Delaware

Every Delaware LLC must keep a registered office and agent in Delaware (§18-104). A registered agent is included in every formation package and renews with it.

Working from another state

Forming in Delaware doesn't take you out of the state where you have an office, staff or property. That state may ask you to register there as a foreign LLC, with its own fee, agent and yearly filings. Each state sets its own test; a tax adviser can confirm yours.

An EIN for banking and taxes

Once Delaware files your certificate, the LLC can apply for an EIN. The IRS doesn't charge for it. Our EIN help is paid preparation support, and without an SSN the IRS takes the form by fax or mail.

Is Delaware the right fit?

Delaware is well known, but it isn't the cheapest state to keep an LLC in. Where you operate, and what your bank, platforms or investors expect, matter more than the name.

Delaware LLC FAQs

State fees, the June 1 tax, registered agents and operating elsewhere.

$110 to file the Certificate of Formation, then a $400 annual LLC tax every June 1. Delaware doesn't ask LLCs for an annual report. These are state fees, paid to Delaware, and they are separate from our package price.

On June 1 of the year after you form. The tax covers the previous calendar year and isn't prorated, so an LLC formed in November owes the full $400 the next June. If it's late, Delaware adds a $200 penalty plus 1.5% interest a month.

Yes. Delaware law requires every LLC to keep a registered office and a registered agent in Delaware to receive official and legal mail. A registered agent is included in every formation package and renews with it each year.

No. You don't need to live in Delaware or visit it, and you don't need an SSN to form the LLC. But if the business has an office, staff or property in another US state, that state may ask you to register there as a foreign LLC and pay its own fees.

Neither is right for everyone. Delaware's yearly LLC tax is higher than Wyoming's minimum yearly fee. Where you actually operate, and what your bank, platforms or investors expect, usually matter more. If you plan to raise money from investors, look at a Delaware C-Corp too.

Not on its own, and no provider can guarantee one. Each bank and payment platform decides. We give you the documents they usually ask for: your filed certificate, your EIN letter and, if you add it, proof of a US business address. Processing times vary; Delaware and the IRS set them.
